This Acceptable Use Policy (the “AUP”) defines how Clients may and may not use the services, systems, and deliverables provided by Harbor Software LLC (“Harbor Software,” “we,” “our,” or “us”). It supplements our Terms of Service. Capitalized terms not defined here have the meaning given in the Terms of Service.

By engaging Harbor Software or using any deliverable we build, Client agrees to comply with this AUP and to ensure that its personnel, contractors, customers, and end users comply as well.

Harbor Software serves business clients only. We do not build software intended for, or knowingly permit the use of our deliverables for, any activity prohibited below.

1. Scope

This AUP applies to:

  • Client’s use of the services we deliver
  • Client’s use of any software, chatbot, voice assistant, integration, automation, or infrastructure Harbor Software builds, hosts, maintains, or operates
  • Any end-user interactions enabled by a Harbor Software deliverable

2. Prohibited Activities

Client must not use any Harbor Software service, deliverable, or system in connection with any of the following.

2.1 Illegal Activity

  • Any activity that violates applicable law in the jurisdiction where Client operates, where end users are located, or where the service is delivered
  • Any transaction or activity involving any person located in, resident in, or a citizen of Cuba, Iran, North Korea, Syria, the Crimea region, the Donetsk region, or the Luhansk region
  • Any transaction or activity involving a person or entity on any restricted party list maintained by the US Office of Foreign Assets Control, the US Department of Commerce, or equivalent UK, EU, or UN authorities
  • Any activity that would cause Harbor Software to violate the Russia-related service restrictions imposed by the United States, United Kingdom, or European Union

2.2 Telemarketing, Unsolicited Calls, and Messaging

  • Any use of a Harbor Software voice assistant, chatbot, or automation to make outbound telephone calls, send SMS messages, or deliver recorded messages in violation of the US Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, CAN-SPAM, the UK Privacy and Electronic Communications Regulations, the EU ePrivacy Directive, or equivalent laws in any jurisdiction
  • Operating or enabling a telemarketing business, autodialer campaign, or outbound cold-calling service
  • Sending unsolicited commercial messages of any kind by phone, SMS, email, messaging app, or automated voice
  • Contacting any person listed on the US National Do Not Call Registry or any equivalent registry without appropriate consent and documentation

Client is solely responsible for obtaining and documenting all consents and opt-ins required for any outbound messaging, and for honoring opt-out requests.

2.3 Consumer Deception and Unfair Practices

  • Making false, misleading, or exaggerated claims about products, services, outcomes, earnings, health benefits, or financial returns
  • Operating pyramid schemes, multilevel marketing programs, get-rich-quick schemes, or investment schemes that promise unrealistic returns
  • Fake testimonials, fabricated reviews, or undisclosed paid endorsements
  • Hidden fees, negative-option billing, reduced-price trials with unclear terms, or subscription traps
  • High-pressure upselling tactics or deceptive sales flows
  • Credit repair, debt settlement, debt consolidation, or similar debt-relief services
  • Predatory lending, predatory mortgage consulting, or predatory investment promotion
  • Sale or resale of payment processing, merchant accounts, or financial services without appropriate licensing

2.4 Prohibited Goods and Services

  • Illegal drugs, controlled substances, or synthetic substances designed to mimic them
  • Counterfeit goods, pirated software, or unauthorized replicas
  • Unregistered securities, ICOs, or cryptocurrency exchanges or wallets unless Client holds all required licenses
  • Illegal firearms, weapons, explosives, or ammunition
  • Adult content or services, including pornography, escort services, adult live chat, and AI-generated adult content
  • Gambling, sports wagering, lotteries, or sweepstakes not properly licensed in the relevant jurisdiction
  • Tobacco products, e-cigarettes, and vape products for card-not-present sale
  • Prescription pharmaceuticals sold without valid prescription and proper licensing
  • Cannabis, cannabis derivatives, or CBD products exceeding local THC limits

2.5 Harmful, Abusive, or Violent Content

  • Content or interactions that threaten, harass, stalk, defame, or incite violence against any person or group
  • Content that promotes hatred or violence against any group based on race, religion, disability, gender, sexual orientation, national origin, or other protected characteristic
  • Content that sexualizes, exploits, or endangers minors in any form
  • Content that facilitates self-harm, suicide, or dangerous eating behaviors

2.6 Security and Integrity Violations

  • Distributing malware, ransomware, spyware, or any code intended to damage, disable, or gain unauthorized access to any system
  • Bypassing or attempting to bypass authentication, rate limits, or security controls of any system
  • Probing, scanning, or testing the vulnerability of any system without authorization
  • Interfering with service to any user, host, or network, including through denial-of-service attacks
  • Forging headers, identifiers, or return paths to mask the origin of a message
  • Scraping, harvesting, or collecting personal data from third-party platforms in violation of those platforms’ terms

2.7 Intellectual Property and Privacy Violations

  • Using Harbor Software deliverables to infringe copyright, trademark, patent, trade secret, or any other intellectual property right
  • Using AI systems we build to generate content that infringes the rights of a specific individual or entity
  • Collecting, processing, or sharing personal data in violation of applicable data protection laws (GDPR, UK GDPR, CCPA, or equivalent)
  • Impersonating any person or entity, including misrepresenting a Client’s relationship to a third party

2.8 Third-Party Payment Facilitation

  • Using a Harbor Software deliverable to collect payments on behalf of undisclosed third parties
  • Operating as a payment facilitator, aggregator, or money service business without appropriate licensing
  • Reselling Harbor Software services without our written consent

3. Responsibilities for AI and Automation Deliverables

Client is responsible for how it deploys any AI assistant, chatbot, voice system, or automation we build. Specifically, Client agrees to:

  • Disclose to end users when they are interacting with an AI system, where required by law
  • Obtain all consents required for recording, storing, or processing conversations
  • Implement appropriate guardrails and content moderation for its use case
  • Prevent the AI system from generating illegal, harmful, or fraudulent content
  • Maintain human oversight for consequential decisions affecting end users
  • Comply with applicable AI-specific regulations, including the EU AI Act where relevant

Harbor Software provides engineering expertise. Client is the data controller and the deployer of any AI system we build for it, and is responsible for lawful use.

4. Content Client Provides

Client represents and warrants that any data, content, credentials, or materials provided to Harbor Software:

  • Are lawfully obtained and owned by Client or licensed to Client for the use in question
  • Do not infringe the rights of any third party
  • Comply with all applicable laws, including data protection laws
  • Are not subject to any export restriction that would prevent Harbor Software from processing them

5. Monitoring and Enforcement

Harbor Software does not routinely monitor Client systems or end-user content. However, we reserve the right, but have no obligation, to investigate suspected violations of this AUP, including in response to complaints, legal process, or indications of abuse.

6. Consequences of Violation

If we believe in good faith that Client or its users have violated this AUP, we may, with or without notice:

  • Request that Client remedy the violation within a specified time frame
  • Suspend affected services or access
  • Terminate the engagement for cause under the Terms of Service
  • Preserve and disclose relevant information where required by law or valid legal process
  • Report conduct to law enforcement where appropriate

Harbor Software is not liable for any loss Client suffers as a result of enforcement action taken in good faith.

7. Reporting Abuse

If you believe a Harbor Software deliverable is being used in violation of this AUP, please report it to trust@harborsoftware.com. Include as much detail as possible, including URLs, timestamps, and any supporting evidence.

8. Changes to This Policy

We may update this AUP from time to time to reflect changes in law, in Harbor Software’s services, or in the risk landscape. Material changes will be posted here with an updated “Last Updated” date and communicated to active Clients by email.
